These Terms & Conditions govern the purchase of products and services from Orotek through our website, by telephone, email, quotation, invoice or other sales channels.
By placing an order with us, you agree to these Terms & Conditions.
Nothing in these Terms & Conditions affects any statutory rights available to consumers under UK law.
1. About Us
Orotek supplies vehicle safety, monitoring and electronic equipment, including camera systems, monitors, sensors, Direct Vision Standard (DVS) equipment, Progressive Safe System (PSS) solutions and related accessories and installation services.
Our current contact and company information is available on our website.
Throughout these Terms, โweโ, โusโ and โourโ refer to Orotek.
โCustomerโ, โyouโ and โyourโ refer to the person or organisation purchasing products or services from us.
2. Consumer and Business Customers
Some provisions of these Terms apply differently depending on whether you purchase as a consumer or business.
A Consumer is an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
A Business Customer is a person or organisation purchasing wholly or mainly for business purposes.
Where consumer protection legislation provides rights that cannot legally be excluded or restricted, those rights take priority over these Terms.
3. Products
We make reasonable efforts to ensure product descriptions, specifications, photographs and other information on our website are accurate.
Images are for illustrative purposes and minor differences in appearance, colour, casing, packaging, connectors, software interface or other non-material characteristics may occur.
We may improve or modify products from time to time, provided that the product supplied continues to materially meet the description and specification agreed at the time of purchase.
4. Vehicle Compatibility
Customers are responsible for providing accurate information about the vehicle where compatibility is relevant, including where requested:
- vehicle make and model;
- registration year;
- vehicle type and configuration;
- existing camera or monitoring equipment;
- voltage and electrical system;
- trailer configuration; and
- any other information reasonably required by us.
We will use reasonable care when advising on compatibility based on information supplied to us.
We are not responsible for compatibility problems resulting from inaccurate, incomplete or misleading information provided by the customer.
5. Orders
Submitting an order does not necessarily mean that we have accepted it.
An order becomes binding when we confirm acceptance, dispatch the products, commence an agreed service, or otherwise expressly accept the order.
We reserve the right to reject or cancel an order before acceptance, including where:
- a product is unavailable;
- an obvious pricing or description error has occurred;
- payment cannot be authorised;
- we cannot reasonably provide the requested service; or
- we reasonably suspect fraudulent or unlawful activity.
If we cancel an order after receiving payment and no goods or services have been supplied, the relevant amount will be refunded.
6. Prices and VAT
Prices will be displayed or quoted in pounds sterling (ยฃ) unless otherwise stated.
Prices will indicate whether VAT is included or added separately where applicable.
Delivery, installation, call-out or other charges may be charged separately and will be identified before the customer becomes contractually bound where required by law.
We may change prices at any time, but price changes will not normally affect orders already accepted.
7. Payment
Payment must be made using one of the payment methods we accept.
Depending on the order, we may require:
- full payment before dispatch;
- a deposit;
- payment before installation;
- payment upon completion; or
- payment according to agreed business credit terms.
Products remain subject to any rights we may have under applicable law until payment obligations have been satisfied.
For Business Customers, overdue amounts may be subject to interest and recovery charges where permitted by contract and applicable UK legislation.
8. Delivery
Any delivery dates or times provided are estimates unless we expressly agree otherwise.
We will make reasonable efforts to deliver products within the estimated timeframe.
Consumer delivery rights under applicable law remain unaffected.
Customers must provide a complete and accurate delivery address.
We are not responsible for delays caused by incorrect information supplied by the customer or circumstances outside our reasonable control, subject to any rights that cannot legally be excluded.
9. Risk and Ownership
For consumers, responsibility for goods passes in accordance with applicable consumer law.
For Business Customers, unless otherwise agreed in writing, risk in goods normally passes upon delivery.
Where permitted by law, ownership of products supplied to Business Customers may remain with us until we have received full cleared payment for those products.
10. Installation Services
Where installation is purchased, we will perform our services with reasonable care and skill.
The customer must provide reasonable access to the vehicle and ensure that it is safe and available at the agreed location and time.
Installation may involve routing cables, connecting to vehicle electrical systems, mounting cameras, monitors, sensors, speakers and other components, and making reasonable modifications necessary for installation.
We will take reasonable care when performing this work.
11. Existing Vehicle Equipment
We are not responsible for defects in pre-existing vehicle equipment that were not caused by us.
Where our products are connected to existing third-party equipment, compatibility may depend on the condition, specification, wiring, software and configuration of that equipment.
Additional parts or labour may be required if previously undisclosed problems are identified during installation.
We will seek the customer’s agreement before carrying out material additional chargeable work where reasonably practicable.
12. Customer or Third-Party Installation
Products may be supplied for self-installation or installation by a third party where appropriate.
The customer is responsible for ensuring that installation is carried out correctly and by a suitably competent person.
We are not responsible for damage or malfunction caused by incorrect installation, incorrect wiring, unauthorised modification, unsuitable power supplies or failure to follow supplied instructions.
This does not affect statutory rights relating to an inherent fault in the product itself.
13. DVS, PSS and Regulatory Compliance
Certain products may be marketed or supplied for use as part of a vehicle’s compliance with the Transport for London Direct Vision Standard (DVS), Progressive Safe System (PSS) or other vehicle safety requirements.
Unless expressly agreed otherwise, we supply equipment and installation services; we do not guarantee that purchasing a particular product will automatically result in a vehicle receiving a permit, certification or regulatory approval.
Compliance may depend on factors including:
- vehicle specifications;
- equipment configuration;
- correct installation;
- applicable regulations;
- photographic or documentary evidence;
- permit applications; and
- requirements imposed by Transport for London or another competent authority.
The vehicle operator remains responsible for ensuring that the vehicle complies with all applicable legal and regulatory requirements and for obtaining any required permit.
Where we expressly agree to assist with an application, we will provide that service with reasonable care and skill but cannot control decisions made by regulatory authorities.
14. AI and Detection Systems
Some Orotek products may use artificial intelligence, computer vision, sensors or detection algorithms to assist drivers in identifying pedestrians, cyclists, vulnerable road users, vehicles or obstacles.
These technologies are driver-assistance systems.
They do not replace:
- safe and attentive driving;
- mirrors;
- direct observation;
- legally required checks;
- driver training; or
- compliance with road traffic laws.
No detection system can guarantee detection of every person, vehicle or obstacle in every circumstance.
Performance may be affected by environmental and operating conditions including visibility, weather, camera positioning, dirt, obstruction, lighting and vehicle configuration.
Drivers remain responsible for operating vehicles safely.
15. Recording and Data Protection
Some products may record video, audio, location information or other data.
The customer or vehicle operator is responsible for determining its obligations under applicable privacy and data protection laws when operating recording equipment.
This may include obligations concerning signage, lawful processing, retention, access requests and the handling of recordings.
Where we process personal information ourselves, such processing will be governed by our Privacy Policy and applicable UK data protection law.
16. Storage Media and Recordings
Where products support MicroSD cards, memory devices or other storage media, recording duration and capacity will depend on factors including resolution, recording mode, number of cameras, compression and storage capacity.
Loop recording may automatically overwrite older recordings.
Customers should regularly check that recording equipment and storage media are operating correctly.
Unless expressly agreed as part of a managed service, we do not guarantee the preservation or recovery of recordings.
Important footage should be backed up promptly.
17. Warranty
Products may be supplied with a stated manufacturer’s or Orotek warranty.
Unless a different period is specified for a particular product, the applicable warranty period will be the period stated on the product page, quotation, invoice or warranty documentation.
Warranty coverage normally relates to manufacturing defects arising during normal use.
Warranty coverage does not normally include faults caused by:
- accidental damage;
- misuse or abuse;
- incorrect installation;
- unauthorised modification;
- incorrect voltage or wiring;
- water ingress beyond the product’s specified protection rating;
- collision or vehicle damage;
- normal wear and tear; or
- external causes outside the reasonable control of the manufacturer or Orotek.
Any warranty is additional to, and does not replace, statutory consumer rights.
18. Faulty Products
If a product is faulty, not as described, not of satisfactory quality or not fit for its intended purpose, consumers may have rights to a repair, replacement, price reduction or refund under the Consumer Rights Act 2015.
Customers should contact us promptly after discovering a suspected fault.
We may reasonably request information, photographs, videos, diagnostic information or return of the product to determine the cause of the problem.
Nothing in these Terms limits rights that cannot legally be limited.
19. Returns and Cancellations
Consumer cancellation and return rights for distance purchases are explained in our separate Refund & Returns Policy.
Consumers purchasing online or through another qualifying distance contract will normally have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, subject to applicable exceptions.
Business Customer returns are governed by the agreed commercial terms and do not automatically receive consumer cancellation rights.
20. Cancellation of Installation Appointments
If an installation appointment needs to be changed or cancelled, customers should give us as much notice as reasonably possible.
Where permitted by law and clearly disclosed before booking, we may charge a reasonable cancellation or call-out fee where an appointment is cancelled at short notice or where our installer attends but cannot complete the installation because:
- the vehicle is unavailable;
- the customer is absent;
- access has not been provided;
- incorrect vehicle information was supplied; or
- the vehicle is unsafe to work on.
Consumer statutory rights remain unaffected.
21. Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
For consumers, we are responsible for foreseeable loss and damage caused by our breach of contract or failure to use reasonable care and skill, subject to applicable law.
We are not responsible for losses that were not reasonably foreseeable when the contract was formed.
Business Customers
Where the customer is purchasing wholly or mainly for business purposes, and to the maximum extent permitted by law, we will not be liable for:
- loss of profit;
- loss of revenue;
- loss of business;
- loss of anticipated savings;
- loss of contracts;
- loss of goodwill; or
- indirect or consequential loss.
Any additional limitation or cap applicable to a Business Customer may be specified in the relevant quotation, contract or commercial agreement.
Nothing in this section excludes liability that cannot legally be excluded.
22. Vehicle Downtime
Although we aim to diagnose and resolve issues efficiently, we do not guarantee that repairs, warranty assessments or replacement installations can be completed immediately.
Business Customers should maintain appropriate operational contingency arrangements.
Any liability for vehicle downtime, substitute vehicles or operational losses will be subject to the limitations in these Terms and applicable law.
23. Intellectual Property
All intellectual property associated with our website and materials, including our branding, product photographs, graphics, manuals and original website content, belongs to us or our licensors unless otherwise stated.
Customers may not reproduce, distribute or commercially exploit our protected materials without permission.
Third-party trademarks and logos remain the property of their respective owners.
24. Website Availability
We aim to keep our website available and accurate but do not guarantee uninterrupted access.
We may temporarily suspend or modify the website for maintenance, security, technical or operational reasons.
25. Promotions and Discount Codes
Promotional offers and discount codes may be subject to additional conditions.
Unless otherwise stated:
- promotional codes cannot be exchanged for cash;
- only one code may be used per qualifying order;
- promotions may have an expiry date; and
- discounts cannot normally be applied retrospectively.
We may withdraw or amend promotions before an order is accepted, subject to applicable law.
26. Events Outside Our Reasonable Control
We will not be responsible for a failure or delay caused by events outside our reasonable control, subject to applicable consumer rights.
Such events may include severe weather, transport disruption, telecommunications failures, supply-chain disruption, industrial action, government action or other circumstances that could not reasonably have been prevented.
27. Complaints
If you are dissatisfied with a product or service, please contact us first so that we have an opportunity to investigate and resolve the issue.
Please provide your order or invoice number and sufficient information about the problem.
We will aim to handle complaints fairly and within a reasonable timeframe.
28. Changes to These Terms
We may update these Terms & Conditions periodically to reflect changes to our products, services, business practices or applicable law.
The Terms applicable to an order will generally be those in force when the relevant contract is entered into, unless a change is required by law or otherwise validly agreed.
29. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
30. No Waiver
If we delay exercising a contractual right, this does not necessarily mean that we have waived that right.
31. Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to the contract will not normally have a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
32. Governing Law and Jurisdiction
If you are a consumer, these Terms are governed by the laws applicable to your contract, and you retain any mandatory rights concerning the courts in the part of the United Kingdom in which you live.
For Business Customers, unless otherwise agreed in writing, these Terms and any dispute arising from them will be governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction.
